These terms (“Terms”) govern your use of Matten, a governed access platform operated by IntellectSpace Corporation (“Matten,” “we,” “us”). By signing in to Matten, you accept these Terms. If you are signing in on behalf of an organization, you represent that you have authority to bind that organization.
Eligibility
You must be at least sixteen years old to use Matten. If you are signing in on behalf of an organization, you additionally represent that you have the authority to accept these Terms on that organization's behalf and to authorize the connections between Matten and the organization's business systems.
Your account
You are responsible for:
- Maintaining the confidentiality of the Google account you use to sign in to Matten.
- Only connecting business-system accounts — Salesforce, QuickBooks, Google Analytics, or any future provider — that you are authorized to access.
- All actions taken in your Matten account, including tool invocations originated by AI clients you have connected and read requests made on your behalf through those clients.
Acceptable use
You may not:
- Use Matten to bypass access controls on a connected provider, including attempting to read data outside the scope your provider credentials grant.
- Use Matten to store, transmit, or facilitate illegal content or activity.
- Attempt to reverse engineer, decompile, or extract source code from the platform, or otherwise circumvent the platform's governance, audit, or capability layers.
- Use the platform in a manner intended to disrupt service for other users or to probe the platform for vulnerabilities outside a good-faith security-research context. Good-faith research is welcome; please coordinate with us at sandro@intellectspace.com before testing.
- Use the platform to build a competing product by scraping, benchmarking, or systematically replicating its interfaces.
Provider data you authorize Matten to access
When you connect a provider, you authorize Matten to read the data the provider exposes under the OAuth scopes you consent to. Matten stores the provider's refresh token encrypted with a per-tenant key and uses it only to serve the tool invocations you or your AI clients originate. See our Privacy Policy for details on storage, retention, and subprocessors.
You may revoke any grant at any time from the Matten portal. Revocation invalidates the grant at Matten; to invalidate it at the provider itself, also revoke Matten's access in the provider's own account settings (for example, in your Google Account authorization list, Salesforce Connected Apps, or Intuit account settings).
Read-only posture
Matten's current version is read-only against connected providers. Tool calls can read and return data the provider exposes; they cannot create, update, or delete records on your behalf. We reserve the right to introduce write capabilities in a later version, governed by explicit per-tenant consent and documented in an updated Privacy Policy and these Terms before taking effect.
Service availability and changes
Matten is provided without a formal service-level agreement during its current stage. We aim for high availability but do not guarantee uninterrupted service. We may change, suspend, or discontinue features with reasonable notice where practicable. Scheduled maintenance windows will be announced in advance where possible.
Fees
Matten's current version is provided to authorized users at no charge. If we introduce a paid tier or transition the service to a paid model, we will do so prospectively, with notice, and any required changes to these Terms or the Privacy Policy will be published before the paid model takes effect.
Intellectual property
Matten and IntellectSpace Corporation retain all right, title, and interest in the Matten platform, including its software, interfaces, designs, and trademarks. You retain ownership of the data you bring to or connect through Matten. You grant Matten a limited, non-exclusive, worldwide license to process that data solely for the purpose of providing the service to you.
Feedback you send us is welcome. To the extent the law allows, we may use feedback without obligation to you, provided we do not identify you by name without your permission.
Disclaimers
Matten is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure. Matten is a governed proxy for data held by third-party providers; we do not warrant the accuracy, completeness, or timeliness of data returned by connected providers.
Limitation of liability
To the fullest extent permitted by applicable law, Matten and IntellectSpace Corporation will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, resulting from your use of the service. Matten's aggregate liability for direct damages arising out of or relating to these Terms or the service will not exceed one hundred United States dollars (USD 100). The limitations in this section do not apply to gross negligence, willful misconduct, or to any liability that cannot be limited under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Matten and IntellectSpace Corporation from any claim, liability, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the service, or your violation of any third party's rights — including rights under a connected provider's own terms of service.
Termination
You may stop using Matten at any time. We may suspend or terminate your access if you materially breach these Terms, create legal or security risk for Matten or other users, or if required by law. Upon termination, your grants become invalid at Matten, and we delete your identity and grant records within thirty days, subject to legitimate operational, legal, or security-hold reasons to retain specific items longer.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Disputes arising out of or relating to these Terms or the service will be resolved in the state or federal courts located in Delaware, and you and Matten consent to personal jurisdiction and venue there. If you are a consumer in a jurisdiction whose law grants you the right to bring a claim in your local courts or under your local law, that right is preserved.
Changes to these terms
We may update these Terms as the service evolves or as required by law. When we make material changes, we will update the “Last updated” date at the top of this page and, where reasonably practicable, notify active users through the Matten portal or by email. Continued use of Matten after the change becomes effective constitutes acceptance of the updated Terms. If you do not agree with an update, you may stop using the service and request deletion as described in the Privacy Policy.
